1. Introduction

Welcome to AllAI.Events (the “Site”). These Terms of Use (the “Terms”) govern your access to and use of the Site, the services and any content hosted on the domain allai.events. 2. Nature of the Service / Role of the Platform

2.1. AllAI.Events operates as a discovery, distribution, and promotional platform designed to help organizers increase visibility and reach new audiences. While we provide tools and infrastructure to support event promotion, discovery, and, where enabled, ticketing or referral tracking, the organization, execution, pricing, admission, ticketing, fulfillment, cancellation, postponement, attendee communications, attendee refunds, and delivery of the event itself remain solely the responsibility of the applicable organizer or host.
2.2. Unless expressly stated otherwise in these Terms or in the applicable checkout flow, AllAI.Events is not the organizer, operator, or seller of third-party events and does not assume responsibility for the performance or outcome of such events.
2.3. Where AllAI.Events enables on-platform ticket checkout, payment collection, referral tracking, discount codes, or similar transactional tools, AllAI.Events provides such functionality as a technology and payment facilitation service only, unless expressly stated otherwise. The organizer remains solely responsible for the applicable event, the terms of sale, the ticket inventory, pricing, taxes, fulfillment, attendee support, cancellations, and refunds to attendees, except to the extent expressly stated in these Terms or in the applicable checkout flow.

3. Acceptance of terms and age restrictions

3.1. By using the Site you confirm that you have reached the age required to enter into legally binding agreements in your jurisdiction (typically 18).
3.2. Minors may use the Site only with the consent of a parent or legal guardian.

4. Registration and accounts

4.1. Certain features require registration. When registering you must provide accurate and up-to-date information.
4.2. You are responsible for safeguarding your account credentials (username and password) and for all activity occurring under your account. If you suspect your account has been compromised, notify us immediately at [email protected].
4.3. We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

5. Organizer Responsibilities and Event Information

5.1. If you submit, manage, or promote an event through the Site as an organizer, host, promoter, or authorized representative, you represent and warrant that:
5.1(a) you have full authority to create, publish, and manage the relevant event listing;
5.1(b) all information you provide is true, accurate, complete, and not misleading;
5.1(c) the event and its promotion comply with applicable law, regulations, and third-party rights;
5.1(d) you have all necessary rights and permissions to use all names, logos, trademarks, images, speaker bios, and other materials submitted in connection with the event;
5.1(e) you are solely responsible for the delivery, operation, and administration of the event, including any registration, ticketing, attendee communications, venue arrangements, schedule changes, cancellations, refunds to attendees, and other event-related obligations.
5.2. You must promptly update any event information that becomes inaccurate, incomplete, outdated, cancelled, postponed, or materially changed.

6. User-Generated Content

6.1. “User-Generated Content” means any material you upload or publish on the Site (texts, images, videos, event descriptions, etc.).
6.2. By publishing content on the Site, you grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, display, distribute, adapt, and use such content solely for operating, improving, marketing, promoting, and providing the Site and related services, including through our service providers, affiliates, and distribution channels.
6.3. You represent that you have all necessary rights and permissions to post the content and that it does not infringe third-party rights (copyrights, trademarks, image rights, etc.).
6.4. We may, at our discretion, moderate, edit, reject, remove or block access to any User-Generated Content that we believe violates these Terms or the law.
6.5. If you submit event-related content as an organizer or host, you acknowledge that we may use such content for listing, discovery, distribution, and promotion of your event on the Site and through related channels, including newsletters, social media, featured placements, search highlighting, and other promotional formats included in the applicable paid plan.
6.6. We may, at our discretion, request verification of event information, ownership, identity, authority, or promotional materials before approving, publishing, or continuing to display any event listing.
6.7. We reserve the right to reject, suspend, de-prioritize, edit, or remove any event listing or related content that is inaccurate, misleading, unlawful, infringing, duplicated, low-quality, deceptive, or otherwise inconsistent with these Terms, our platform standards, or applicable law.

7. Prohibited activities

You agree not to use the Site for:
– uploading content that infringes third-party rights;
– distributing malware, spam or phishing;
– interfering with Site operations or attempting unauthorized access;
– fraud or deceptive conduct toward other users;
– posting illegal content;
– posting false or misleading event information;
– impersonating an organizer, venue, sponsor, or speaker;
– promoting events without authorization;
– listing cancelled, fictitious, fraudulent, or non-existent events;
– using paid promotion for unlawful, deceptive, or infringing content;
– manipulating rankings, views, clicks, or engagement metrics;
– submitting duplicate or substantially repetitive event listings in bad faith;
– other actions that violate applicable law.

8. Paid Services, Orders and Payments

8.1. Certain services on the Site are offered for a fee to organizers, hosts, and other business users. Paid services may include, depending on the selected plan or package, event listing upgrades, search highlighting, enhanced visibility, homepage featured placement, promotional distribution, social media promotion, analytics, speaker presentation features, and other event-related promotional tools described on the Site at the time of purchase. Certain paid plans may include monetization features, including on-platform ticket checkout and related transaction tools.
8.2. Current pricing, plan descriptions, included features, and package options are presented on the relevant pages of the Site. We may update pricing, features, package composition, or plan availability from time to time, but such changes will not retroactively affect services already purchased, unless otherwise expressly stated.
8.3. By purchasing a paid plan or package, you authorize us and our third-party payment processors to charge the applicable fees, taxes, and other amounts disclosed at checkout. Payments are processed through third-party providers such as Stripe, and payment card information is processed by those providers in accordance with their own terms and policies.
8.4. A purchase is deemed completed when payment is successfully processed and confirmed.
8.5. Paid services are offered only for the promotion, visibility, distribution, monetization, and related management of events by organizers, hosts, promoters, and other business, professional, or organizational users. Event visitors and attendees do not pay AllAI.Events for access to events through the Site unless explicitly stated otherwise.
8.6. Results may vary and depend on multiple factors, including event quality, timing, audience relevance, organizer materials, and external market conditions. While AllAI.Events provides tools intended to support visibility and discovery, we do not guarantee any minimum number of views, clicks, registrations, leads, attendees, conversions, media exposure, or business results.
8.7. We may require event details, approvals, verification, or additional information before activating or delivering a paid service. Payment for a paid service does not guarantee automatic approval, publication, or continued display of any event listing where verification, moderation, compliance review, or policy concerns apply.
8.8. For package-based purchases, the number of included event placements, upgrades, or promotional uses is determined by the applicable package description shown at the time of purchase. Any unused package components, event placements, or promotional uses remain subject to these Terms and any additional package rules presented on the Site.
8.9. You are responsible for all taxes, duties, levies, and similar governmental charges associated with your purchase, other than taxes imposed on our net income.
8.10. If payment is disputed, reversed, charged back, declined, or not successfully settled, we may suspend the relevant account, event listing, package, or access to paid features until the matter is resolved.
8.11. We reserve the right to refuse, delay, suspend, or cancel activation of paid services where we reasonably believe there is fraud, unauthorized use, policy abuse, inaccurate event information, legal risk, or violation of these Terms.

9. Ticket Sales, Referral Tracking, and Organizer Transaction Tools

9.1. Where the Site enables an organizer to offer tickets, registrations, admission products, or similar event access through an on-platform checkout or payment form, the organizer is solely responsible for the applicable event, the accuracy of all event and pricing information, ticket inventory, taxes, legal compliance, attendee communications, admission, fulfillment, cancellations, and attendee refunds, unless expressly stated otherwise by AllAI.Events in writing.
9.2. On-platform ticket checkout, payment collection, and related transactional tools are available only to organizers with an eligible paid plan, as described on the Site or otherwise approved by AllAI.Events. Availability of such tools may depend on plan type, account status, verification, compliance review, and payment processor requirements.
9.3. AllAI.Events may charge the organizer a service fee, commission, application fee, transaction fee, or similar amount in connection with on-platform sales, including a percentage of ticket sales processed through the Site, as disclosed at checkout or in the applicable pricing materials.
9.4. The purchase of a ticket or event registration through the Site constitutes a transaction between the attendee and the applicable organizer, with AllAI.Events acting solely as a technology, payment facilitation, distribution, and checkout interface provider, unless expressly stated otherwise.
9.5. The organizer must clearly provide or make available the event-specific terms of sale, including pricing, refund rules, cancellation rules, admission conditions, and any event-specific restrictions or requirements.
9.6. Unless expressly stated otherwise in the applicable checkout flow, the organizer is solely responsible for all attendee-facing refunds, returns, cancellations, complaints, and disputes relating to the event, ticket, admission, or fulfillment.
9.7. We may suspend, refuse, delay, or disable on-platform ticket sales for any event if we reasonably believe there is fraud, elevated dispute risk, policy abuse, inaccurate information, legal risk, or a violation of these Terms. Unless expressly stated otherwise, AllAI.Events is not a party to the underlying attendee-organizer transaction.
9.8. Where we provide tracking links, referral tools, promo codes, discount codes, or attribution functionality for purchases completed on a third-party or organizer-controlled site, AllAI.Events does not control the external checkout, inventory, taxes, pricing, payment processing, fulfillment, or refund handling for those sales. We do not guarantee attribution accuracy in all cases.
9.9. Referral, promo-code, and attribution reporting may be affected by browser settings, cookie restrictions, device changes, code misconfiguration, organizer implementation errors, third-party platform limitations, or other technical factors. Accordingly, attribution and related analytics are provided on a best-efforts basis and are not guaranteed to be complete, uninterrupted, or error-free.

10. Organizer Fees, Payouts, Refunds, and Chargebacks

10.1. If AllAI.Events facilitates on-platform ticket sales, we may deduct our commission, application fee, payment processing fees, refunds, chargebacks, dispute fees, taxes, reserves, and other applicable amounts from the funds otherwise payable to the organizer, to the extent permitted by law and the applicable payment processor arrangements.
10.2. The organizer remains responsible for attendee-facing refund obligations and for losses arising from event cancellations, non-performance, fraud, inaccurate event information, or organizer breach.
10.3. We may delay, withhold, offset, or suspend payouts where reasonably necessary to manage refunds, chargebacks, disputes, fraud risk, reserves, legal compliance, or anticipated liabilities.

11. Refunds and Cancellations

11.1. This section governs refunds and cancellations relating to paid services purchased from AllAI.Events by organizers, hosts, promoters, and other users purchasing event-related promotional or listing services through the Site.
11.2. AllAI.Events operates as a discovery, distribution, and promotional platform designed to help organizers increase visibility and reach new audiences. Accordingly, responsibility for the organization, execution, pricing, admission, ticketing, fulfillment, cancellation, postponement, attendee communications, attendee refunds, and delivery of the event itself remains solely with the applicable organizer or host.
11.3. This section applies only to amounts paid to AllAI.Events for paid platform services purchased by organizers, hosts, promoters, and other business users. It does not govern attendee-facing ticket refunds, event admission fees, or other attendee payments relating to third-party events, which remain subject to the applicable organizer’s terms unless expressly stated otherwise in the checkout flow.
11.4. A customer may request a refund for a paid Standard or Premium listing, package use, or other paid promotional service only before the relevant paid service has been activated or begun. A customer may cancel a purchased paid service only before activation of that service. After activation, cancellation will not entitle the customer to any refund, except where required by applicable law.
11.5. For purposes of these Terms, a paid service is considered activated, started, or commenced once any material promotional component has been initiated, launched, scheduled, queued, reserved, published, distributed, delivered, or materially prepared for release, including event publication in paid mode, search highlighting, featured placement, or the start of a promotional campaign.
11.6. Once a paid service has been activated or otherwise begun, the service is deemed to have commenced, and fees for that service are non-refundable, except where required by applicable law or where we determine that a refund is appropriate due to a verified billing error or failure to provide the service.
11.7. Without limiting Section 11.6, no refund will be available where:
(a) the event has already been published in paid mode;
(b) the event has already been highlighted or boosted in search;
(c) the event has already received featured placement or homepage exposure;
(d) a social media post about the event has already been published;
(e) the customer is dissatisfied with the results, visibility, traffic, clicks, registrations, lead generation, attendance, or commercial performance of the event or listing, where such outcomes may vary depending on factors such as event quality, timing, audience relevance, organizer materials, or external market conditions;
(f) the event is cancelled, postponed, changed, underperforms, or fails to meet attendee or organizer expectations;
(g) the paid service is suspended, refused, or removed because the customer violated these Terms, submitted misleading or unauthorized content, or otherwise engaged in fraud, abuse, or unlawful conduct.
11.8. A full refund may be issued, at our discretion, where:
(a) the customer made a duplicate payment;
(b) the customer was charged an incorrect amount due to our billing error;
(c) the customer timely requested cancellation and refund before activation of the relevant paid service; or
(d) we are unable to provide the purchased paid service due solely to our own fault.
11.9. Where a paid service has already started but is materially affected by a verified technical failure of our platform that prevents the relevant paid promotional component from being delivered as intended, our sole and primary remedy may be, at our option, to re-run, restore, extend, or re-activate the affected paid service for a reasonable additional period, including up to 30 additional days for the affected event, instead of issuing a monetary refund.
11.10. Any such extension, reactivation, or re-run will apply only to the specific affected event or promotional component and will not entitle the customer to a refund, extension, or other remedy for other events, slots, package components, or services that were properly delivered.
11.11. The customer must notify us of the alleged technical issue promptly and provide reasonably sufficient evidence for review. We may deny relief where the issue resulted from organizer error, third-party systems, misconfiguration, external integrations, unsupported implementations, or circumstances outside our reasonable control.
11.12. If, after reasonable review, we determine that no verified platform-side technical failure occurred, or that the issue was caused by the organizer, a third party, external systems, misconfiguration, or circumstances outside our control, the customer will not be entitled to any refund, extension, or other remedy.
11.13. For package-based purchases or multi-event package components, any refund, if approved, will be limited to the unused and unactivated portion of the applicable package. No refund will be available for any used, activated, delivered, or expired package component.
11.14. To request a refund, the customer must contact us at [email protected] and provide sufficient details for review, including the account email, event name, payment date, transaction reference, and the reason for the request.
11.15. Approved refunds will generally be returned to the original payment method used for the transaction, where possible. Timing for receipt of refunded funds depends on the payment processor, card network, and financial institution.
11.16. Before initiating a chargeback or payment dispute, the customer agrees to contact us first to attempt to resolve the matter in good faith. Nothing in these Terms limits any non-waivable legal rights a customer may have under applicable law.
11.17. If applicable law in a customer’s jurisdiction grants mandatory cancellation, withdrawal, or refund rights that cannot be waived or limited by contract, those statutory rights will prevail to the extent required by law.

12. Intellectual property

12.1. All rights in the Site content, design, logos, texts and software are owned by the Site or its licensors unless otherwise stated.
12.2. Nothing in these Terms transfers ownership of our intellectual property to you.

13. Third-party links

The Site may contain links to third-party websites and services. We do not control their content and are not responsible for their privacy practices. Interaction with them is at your own risk.

14. Limitation of liability and disclaimers

14.1. The Site and all related services, features, listings, promotional tools, payment facilitation functionality, referral tracking tools, analytics, and content are provided “as is” and “as available” without any express or implied warranties, including but not limited to fitness for a particular purpose, accuracy, merchantability, non-infringement, or uninterrupted availability.
14.2. To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, punitive, consequential, or exemplary damages arising from use of or inability to use the Site.
14.3. In jurisdictions where full limitation of liability is prohibited, our liability is limited to the maximum extent permitted (for example, the amount you actually paid for services in the last 12 months, if applicable).
14.4. Without limiting the foregoing, AllAI.Events does not warrant or guarantee that any event listed on the Site will take place as described, remain unchanged, comply with expectations, achieve any commercial outcome, or be suitable for any attendee or organizer purpose.
14.5. We are not responsible for any act, omission, cancellation, postponement, rescheduling, misrepresentation, non-performance, or other conduct of any organizer, host, sponsor, venue, speaker, attendee, ticketing provider, or other third party.
14.6. We are not liable for losses arising from event cancellation, postponement, poor attendance, inaccurate listings provided by organizers, speaker changes, venue changes, ticketing issues, registration problems, or dissatisfaction with event quality or results.
14.7. To the fullest extent permitted by law, our total liability arising out of or relating to any paid service will not exceed the amount actually paid by you to us for the specific paid service giving rise to the claim.
14.8. Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you to the extent prohibited by applicable law.

15. Indemnification

You agree to indemnify and hold the Site (operator, its employees, directors and agents) harmless from any claims, damages or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your posting of content, or your violation of third-party rights.

16. Termination and suspension

16.1. We may suspend or terminate access to the Site or delete your account for violations of these Terms.
16.2. After termination certain provisions (including indemnification, limitation of liability and intellectual property) will survive.
16.3. We may also suspend, remove, or terminate any paid listing, promotional placement, package usage, or organizer account if we reasonably determine that the relevant event or content violates these Terms, presents legal or reputational risk, is misleading, or was submitted without proper authorization.
16.4. If a paid service is suspended, removed, or terminated because of your breach of these Terms, fraud, misrepresentation, or unauthorized conduct, you will not be entitled to any refund except where required by law.

17. Governing law and jurisdiction

17.1. These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA.
17.2. Any disputes arising in connection with these Terms shall be subject to the jurisdiction of the state or federal courts located in Delaware, unless otherwise agreed subject to Section 18.

18. Dispute resolution and ADR

18.1. The parties shall, where possible, attempt to resolve any disputes or disagreements arising out of these Terms or the use of the Site by good-faith negotiations.
18.2. If a dispute cannot be resolved within 30 calendar days from the date of written notice, the parties shall attempt to resolve the dispute by mediation conducted by an independent mediator agreed by the parties (mediation is non-binding).
18.3. If mediation does not result in agreement within 60 calendar days of its commencement, either party may pursue its rights in court in accordance with the “Governing law and jurisdiction” section.

19. Changes to the Terms

We may modify these Terms. Updated versions will be posted on the Site with a revised “Effective date”. For material changes we will notify registered users by e-mail or display a notification at sign-in.

20. Entire agreement, severability, assignment

20.1. These Terms constitute the entire agreement between you and the Operator regarding use of the Site.
20.2. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
20.3. We may assign our rights and obligations under these Terms; you may not assign your rights without our consent.
